About the Practice

I started my law practice with the singular focus of assisting companies with the acquisition and sale of complex technologies.

I specialize in negotiating technology agreements. In my career, I’ve been fortunate to represent both buyers and sellers of technology services and intellectual property, giving me valuable perspective on both sides of these deals. My experience allows me to craft creative solutions to the myriad problems that arise during technology-acquisition negotiations (e.g., Who should own jointly developed IP? What should the indemnification cover and what limits do we set?).

For companies looking to buy technology, intellectual property or cloud and professional services, I like to function as another member of the in-house team, working collaboratively with the legal team and internal stakeholders that will ultimately use the technology or services. I find that the earlier I can get involved in a project — helping to scope RFP’s and solicit vendors — the more value I can bring to the endeavor. However, I can also backfill a resources gap and help close deals that have been advanced and just need a hand to fill in and complete execution.

For technology vendors, my years as a technology business development executive assists me in working closely with Sales team members and assisting them to meet their sales objectives. I provide rapid turnaround of contract drafts and maintain a “customer friendly” demeanor, even when negotiating difficult contract terms with buyers.

In order to successfully practice Technology Law, I strongly believe that it is important to have a working knowledge of the technologies my clients are using. For that reason, I earned two Certificates in Artificial Intelligence from UC Berkeley’s business and law schools.
